The facility carries a 10% coupon, amortises from December and includes an accordion for up to $10m more subject to conditions and additional warrants.

Horizon Technology Finance Corporation, ROHO Capital Opportunity Fund LLC and Monroe Capital Management Advisors, LLC have provided NeoVolta, Inc. with a $20 million secured term loan.

Horizon is collateral agent and a lender, ROHO is a lender, and Monroe Capital Management Advisors is administrative agent, according to a Form 8-K filed with the US Securities and Exchange Commission on 4 September 2026.

The loan matures on 3 March 2028 and bears interest at 10.00% a year. Amortisation begins on 4 December 2026, with monthly payments equal to the greater of $1.25 million or 7.5% of the prior month’s common-stock trading value, capped at $2 million.

The facility is secured by a first-priority lien on substantially all assets. Proceeds are for working capital or general corporate purposes. The agreement allows an increase of up to an additional $10 million, subject to mutual agreement, a Minimum Cushion Requirement and additional warrants.

NeoVolta is a Nasdaq-listed energy storage and battery systems company based in California. In connection with the financing it issued five-year warrants for 1,454,545 common shares at $3.30, with room for up to 727,273 more if the loan is upsized, and agreed to file a Form S-3 within 30 days to register resale of the warrant shares.

Earlier in 2026 NeoVolta raised about $23 million of equity through a private placement and a registered direct offering for working capital and commitments to NeoVolta Power, its Georgia battery energy storage manufacturing joint venture.

Horizon Technology Finance (Nasdaq: HRZN), an affiliate of Monroe Capital, is a specialty finance company that makes secured loans to venture capital and private equity-backed companies and publicly traded companies in technology, life science, healthcare information and services, and sustainability. It is headquartered in Farmington, Connecticut. As of 30 June 2026 its investment portfolio stood at $676.7 million, including 43 secured loans with a fair value of $648.0 million. In the second quarter it funded nine loans totalling $72.7 million. The firm said its team has provided more than $3 billion in venture debt since 2004 and completed a merger with Monroe Capital Corporation in April 2026.

ROHO Capital Opportunity Fund is a joint venture created by Horizon with CR Financial Holdings, the parent of Roth Capital Partners, and is positioned to provide growth financing in the venture market.
